Legislative Decree 231/2001 introduced in Italy the principle of the administrative liability of companies for unlawful acts resulting from crimes committed by one or more of their representatives that benefit the company itself.
The legislation provides for specific crimes for which the company may be punished with significant financial penalties. In addition, it may also be subject to precautionary measures as sanctions prior to a possible conviction.
The serious judicial inconveniences, as well as the economic costs arising from the application of Legislative Decree 231/2001, can be completely avoided if the company or the entities concerned are able to demonstrate that they have adopted an adequate organizational, management, and control model for activities at risk.
This model must be periodically reviewed by a Supervisory Body equipped with autonomous powers and appointed for this activity.
